Terms of Service

1. Acceptance of Terms

By accessing or using ListRunHQ (the “Platform”), you agree to these Terms of Service, our Privacy Policy, our Support Policy, our Acceptable Use Policy, and any service-specific rules that apply to your role on the Platform. If you do not agree, you may not use ListRunHQ.

2. Platform Role

ListRunHQ provides software and marketplace tools that allow users to request, dispatch, track, and manage property-related services such as sign installation and removal, pre-listing cleaning, open house preparation, lockbox management, property inspection, turnover cleaning, and similar listing services for realtors and property managers.

Vendors on the Platform are independent third-party service providers unless expressly stated otherwise in writing. ListRunHQ does not guarantee vendor availability, vendor pricing, scheduling outcomes, service quality, legal compliance by vendors, or the conduct of customers, vendors, or other users.

3. Eligibility

• You must be legally able to enter into a binding contract in your jurisdiction.
• You must provide accurate, current, and complete information when registering and when using the Platform.
• You must not use the Platform for any unlawful, abusive, deceptive, fraudulent, harassing, or harmful activity.

4. Accounts and Security

• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You must not share login credentials or allow unauthorized parties to access your account.
• You must promptly notify ListRunHQ of any suspected unauthorized access or security incident.
• ListRunHQ may suspend or terminate accounts that engage in suspicious, unsafe, abusive, fraudulent, or policy-violating conduct.

5. Customer Responsibilities

• Customers must provide accurate property addresses, access instructions, service details, timing information, and any safety or risk considerations relevant to the work being requested.
• Customers are responsible for ensuring they have the legal authority to request services at the property in question.
• Customers must not request unlawful entry, trespass, harassment, surveillance, intentional damage, unsafe work, or services at properties they do not have authority over.

6. Vendor Responsibilities

• Vendors must provide accurate business information.
• Vendors must maintain all licenses, insurance, permits, worker safety compliance, and legal authority required to perform their services.
• Vendors are responsible for the quality, safety, legality, and completion of their work.
• Vendors must not misrepresent their qualifications, insurance, pricing, availability, or job completion status.
• Vendors must upload truthful completion photos and notes.

7. No Real Estate Brokerage Services

ListRunHQ does not trade in real estate, represent buyers or sellers, negotiate real estate transactions, provide real estate advice, or act as a real estate brokerage. ListRunHQ is a technology platform for coordinating property-related services only. Nothing on the Platform constitutes legal, tax, insurance, or real estate brokerage advice.

8. Orders and Service Requests

• Orders may be in pending, accepted, in progress, completed, cancelled, or disputed status.
• Submitting a request does not guarantee that any vendor will accept it.
• Estimated prices and timing displayed on the Platform are not guaranteed unless confirmed in writing.
• ListRunHQ may reject, cancel, pause, or investigate any order for safety, fraud, abuse, operational risk, or policy reasons.

9. Payments

During the MVP phase, payment fields and amounts shown on the Platform may be placeholders unless live payment processing has been explicitly enabled for your account. When live payments are enabled, payments will be handled by a third-party payment processor. ListRunHQ does not store full credit card numbers or raw banking credentials.

• You agree to comply with the rules of the applicable payment processor.
• ListRunHQ may hold, delay, reverse, or pause payouts where fraud, disputes, chargebacks, suspicious activity, or policy violations are suspected.

10. Refunds and Cancellations

Refund and cancellation rights are described in the Refund and Cancellation Policy. Refunds depend on order status, vendor acceptance, timing, work performed, costs incurred, and platform review. Abuse of refunds, chargebacks, or false claims may result in suspension or termination.

11. Reviews and Uploaded Content

• You must only upload content that is lawful, accurate, non-infringing, and that you have the right to share.
• You must not upload private or confidential information that you are not authorized to share.
• You grant ListRunHQ a worldwide, non-exclusive, royalty-free licence to use uploaded content as reasonably necessary to operate the Platform, process orders, verify completion, resolve disputes, comply with law, and improve the service.
• ListRunHQ may remove content that is unlawful, abusive, misleading, harmful, private, or otherwise policy-violating.

12. Prohibited Use

You may not:

• Use the Platform for any illegal activity;
• Request trespass or unlawful access to any property;
• Harass, threaten, abuse, or discriminate against any person;
• Upload malware, viruses, or other harmful code;
• Scrape, copy, reverse engineer, or exploit the Platform;
• Circumvent payments, fees, or platform processes;
• Impersonate another person or business;
• Misrepresent services, qualifications, or completion status;
• Abuse support, refunds, disputes, or chargeback processes;
• Use the Platform to stalk, monitor, surveil, or intimidate any person;
• Interfere with the security, integrity, or availability of the Platform.

13. Intellectual Property

ListRunHQ owns or licenses the Platform, branding, logos, design, software, text, workflows, and content. You may not copy, resell, scrape, clone, reverse engineer, reproduce, or otherwise misuse ListRunHQ’s platform, brand, or content. You receive only a limited, revocable, non-exclusive, non-transferable right to use the Platform in accordance with these Terms.

14. Data and Privacy

Your personal information is handled in accordance with our Privacy Policy. Do not submit unnecessary sensitive personal information through the Platform.

15. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, ListRunHQ disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. ListRunHQ does not guarantee uninterrupted access, error-free operation, vendor availability, service outcome, listing success, property sale outcomes, business revenue, or any other specific result. Except where required by law, ListRunHQ is not responsible for the conduct of third-party vendors, customers, or other users.

16. Limitation of Liability

To the maximum extent permitted by applicable law, ListRunHQ and its owners, officers, directors, employees, contractors, affiliates, agents, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, lost business opportunities, property delays, reputational harm, or third-party damages, arising out of or related to your use of the Platform, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless ListRunHQ and its owners, officers, directors, employees, contractors, affiliates, agents, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: your misuse of the Platform; inaccurate information you provide; unlawful service requests; property access issues; content you upload; vendor work performed in connection with your account; customer or vendor disputes; payment disputes; your breach of these Terms; or your violation of any law.

18. Suspension and Termination

ListRunHQ may suspend, restrict, or terminate access to the Platform for policy violations, safety concerns, legal risk, fraud, abusive conduct, non-payment, chargebacks, or suspected account compromise.

19. Changes to Terms

ListRunHQ may update these Terms from time to time. Updated versions will be posted with a new effective date. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

20. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts located in Ontario, Canada, for any dispute arising out of or related to these Terms or the Platform, subject to any mandatory consumer-protection rights you may have under applicable law.

Note: governing law and dispute resolution must be reviewed by qualified Ontario legal counsel before public paid launch.
